Forming a company in Haiti

The société anonyme (SA) and the société à responsabilité limitée (SARL) are the two forms most commonly used in Haiti. The right choice depends on the number of shareholders, the contemplated capital and the nature of the business. We guide clients through each step: drafting bylaws, obtaining the tax identification number (NIF), registering with the commercial registry, obtaining the operating license (patente), and all prior declarations with the relevant authorities. For structures involving foreign investors, we ensure compliance with the Investment Code.

Beyond formation, the day-to-day life of a company demands disciplined governance. We draft and maintain minutes of meetings, support boards of directors in their resolutions, and advise on amendments to bylaws (capital increases, change of corporate purpose, transfer of registered office). What types of companies can be formed in Haiti?+

The most common forms are the société anonyme (SA) and the société à responsabilité limitée (SARL). General partnerships and limited partnerships also exist but are rare in commercial practice.

How long does it take to incorporate an SA in Haiti?+

In practice, four to eight weeks from drafting the bylaws to receiving full registration documents, depending on the responsiveness of the relevant authorities and the complexity of the file.

Can a foreign investor own 100% of a Haitian company?+

Yes — Haitian law allows 100% foreign ownership in most sectors. Certain regulated activities (media, air transport, private security) are subject to caps or specific authorizations.

Do I need a lawyer to form a company?+

The law does not formally require counsel for every step, but properly drafted bylaws, robust shareholder agreements and clean tax setup are matters of expertise — and they prevent expensive disputes later.
